1. Scope

These Terms govern the provision of design and engineering services by GASER-TECH (“we”, “us”) to the client (“you”).

2. Proposals & orders

Proposals are valid for 30 days unless stated otherwise. An order is formed upon written acceptance or purchase order.

3. Deliverables

Deliverables, formats and milestones are described in the proposal or statement of work. Changes are subject to change control.

4. Fees & payment

Prices exclude taxes unless stated. Invoices are payable within the agreed terms. Late payments may incur statutory interest.

5. IP & licensing

Unless otherwise agreed, IP rights in pre-existing tools remain with us. Project-specific results are assigned or licensed as defined in the contract.

6. Confidentiality

Each party will keep confidential information in strict confidence and use it only for the project purpose.

7. Warranties & limitation of liability

Services are provided with reasonable skill and care. We exclude all implied warranties and limit liability to the fees paid for the service giving rise to the claim, except where not permitted by law.

8. Termination

Either party may terminate for material breach or for convenience with notice as agreed in the contract. Fees for work performed remain due.

9. Governing law & disputes

These Terms are governed by the laws of the applicable jurisdiction stated in the contract. Disputes will be resolved in the competent courts of that jurisdiction.
